In November and December 2012, Yang, a member of the emergency dispatching committee of the Shenzhen Municipal Health Planning Commission, bought a stock of Dehao Runda stock in an obscure position with a turnover of 2.4 million yuan. Yesterday, Yang and his high school classmates, the former general manager assistant and senior manager of the lighting division of Dehao Runda Company, Zhang Yitong, sat in the trial hall of Shenzhen Intermediate People's Court. The prosecution alleged that the two were suspected of insider trading. After learning that the company wanted to acquire NVC Lighting, Zhang provided 2 million funds to Yang to purchase the company's stock. Yang also used his own funds of 210,000 to purchase the stock.

It is reported that the China Securities Regulatory Commission has determined that Dehao Runda's acquisition of NVC Lighting's equity is inside information, and the inside information sensitive period is from September 19 to December 26, 2012. The evidence produced by the prosecution in court showed that Dehao Runda Company was engaged in the LED lighting industry. During the period, Dehao Runda Company had a good performance, but during the November and December 2012, Shenzhen Municipal Health Planning Commission Emergency Management Section Yang, a member of the group, bought a lot of shares.
According to the analysis issued by the China Securities Regulatory Commission, Yang opened a securities trading account in 2011. The transactions were not frequent, and the transactions were all short-term operations. The trading volume was relatively small, and the largest transaction was only 40,000 yuan. Obviously, during the November and December of 2012, Yang’s account transaction did not meet his daily trading habits. On the one hand, the amount of funds was large, reaching 2.4 million yuan. On the other hand, it was held for a long time until April of the following year. The stock was sold off.
Just after Yang bought a large number of shares of Dehao Runda, on December 26, 2012, Dehao Runda announced the acquisition plan for NVC Lighting, and the stock was resumed the next day. After the stock resumption of trading, although there was even a record of the down limit in a short period of time, it quickly entered an upward trend. By April 2013, when Yang sold all the stocks, the profit was close to one million.

So why did Yang choose Dehao Runda with precision?
According to the survey, before the acquisition information was disclosed, Yang had frequent communication with the middle school student Zhang. Zhang’s identity is the assistant to the general manager of Dehao Runda Lighting Division. Zhang is involved in the acquisition and is recognized by the CSRC as the insider.
The prosecution evidence showed that at the beginning of the SFC investigation, the two men conducted a series of confessions and denied insider trading. Just when Zhang surrendered, he still assured his classmate Yang that he would not say anything after he entered, and would not be implicated. However, under the investigation, Zhang admitted that after he learned the inside information, in order to avoid the risk, he handed over 2 million cash to Yang through his father-in-law, and then telephoned Yang to buy the company's stock. Zhang denied that he had informed him of the inside information, and denied that he had paid the benefit fee to Yang.
However, the account information shows that Yang took more than 200,000 yuan from the stock gains, partly for buying a house and partly for others. Both Yang and Zhang said that this is a loan. The prosecution said that there is no evidence to prove that the money was paid by Zhang to Yang.
